These terms govern (a) the managed Nivoli Edge service (subscriptions and one-time transform packs; sections 3–10), and (b) the self-hosted Pro license for the Nivoli Edge WordPress plugin (section 11). By purchasing, activating a license key, or using the service, you accept these terms. If you buy for a company, you confirm you may bind it.
All purchases are processed by Stripe under its Managed Payments (merchant-of-record) program: the seller of record for your payment is Link, Stripe's consumer brand. Stripe handles payment collection, VAT/sales tax calculation and remittance, payment-related support, payment disputes, and refund processing under its own terms of sale, which govern the payment transaction, including, for EU consumers, the statutory 14-day cooling-off right, exercised via Link support. Where these terms and Stripe's terms of sale conflict on payment or refund mechanics, Stripe's terms control.
The managed service optimizes and serves your site's images (resizing, format negotiation, caching) and caches full HTML pages, running on Cloudflare Workers, KV, and Cloudflare's image pipeline. Each plan includes a monthly allowance of transforms: unique image variants created in a rolling 30-day window. Serving an already-created variant from cache does not count against the allowance. Full-page HTML caching is included in every managed plan under fair use (section 6).
The service is designed so that no limit, failure, or suspension ever takes your site offline:
Quota exhaustion or degraded (unoptimized) delivery is not an outage, defect, or breach of these terms. Your sole and exclusive remedies are to purchase a transform pack, upgrade your plan, or wait for the rolling window to free allowance.
The service is provided on a best-effort basis with no uptime guarantee on any plan. It runs entirely on infrastructure operated by Cloudflare, Inc.; we do not control and are not liable for Cloudflare outages, nor for the availability of your own origin server, DNS, or hosting. Because of the fallback design in section 5, infrastructure failures degrade delivery to your originals rather than breaking your site; this degradation is the intended failure mode and your sole remedy for unavailability of the optimization layer. Agency-plan customers get priority support with a target first response of one business day; this is a target, not a guarantee.
What we store and how we handle personal data is described in the Privacy Policy, which forms part of these terms. For request data of your site's visitors, we act as a processor on your behalf.
You can stop at any time by cancelling your subscription. We may terminate or suspend for material breach of these terms, abuse (section 6), or failed payment. When a managed plan ends, whatever the reason:
We improve the service continuously and may add, change, or retire features. We will not materially reduce the core value of a paid plan mid-billing-cycle without notice. If we discontinue the managed service entirely, we will give at least 60 days' notice, and by design (section 5) your site continues to work from your own server after shutdown.
The Nivoli Edge WordPress plugin is licensed under GPL-2.0-or-later; nothing in this section limits your rights under that license to the plugin's code. What the one-time self-hosted Pro purchase buys is a license key and the services attached to it:
We retain all rights in the service, its software, branding, and documentation, except as granted under these terms or under the plugin's GPL license. You retain all rights in your sites, images, and content; you grant us only the technical permissions needed to fetch, transform, cache, and serve that content on your behalf while your plan is active. If you send us feedback or suggestions, we may use them without obligation.
The service and the plugin are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation, or specific bandwidth savings, cache hit rates, or search-ranking outcomes.
To the maximum extent permitted by law: (a) we are not liable for indirect or consequential damages, lost profits, lost revenue, lost data, or loss of goodwill; (b) our total aggregate liability arising out of or related to the service or these terms is capped at the fees you paid for the service in the 12 months preceding the event giving rise to the claim; and (c) we are not liable for failures of Cloudflare, Stripe, or other third-party infrastructure, or of your own origin server. Nothing in these terms excludes or limits liability that cannot be excluded under Dutch law, including liability for intent (opzet) or willful recklessness (bewuste roekeloosheid), and nothing limits mandatory rights you hold as a consumer.
We may update these terms. For material changes we will notify subscribers by email at least 30 days before they take effect; continued use after that date constitutes acceptance. If you do not agree, cancel before the new terms take effect.
These terms are governed by the laws of the Netherlands. Disputes are submitted to the competent court of the district of Midden-Nederland (Rechtbank Midden-Nederland), the Netherlands, unless mandatory consumer-protection law gives you the right to litigate elsewhere.
